Dear Sirs,

NHA & Habib Rafique Agreement dated 16 August 2015 entered into between (1) Your Client Name and (2) YOUR Company Name – Agreement Number Tunnel No. 44 South Area (T44)

We refer to the T44 Agreement and Work Order Number NA/T44/12/001 (a copy of which is attached hereto and referred to as the Work Order) that was issued based on Proposal T44/20/44 ( a copy of which is also attached) prepared by Your Sub-Contractor Name   (the Subcontractor).

This letter records our mutual agreement to the sub-contracting by the Subcontractor of the matters referred to in the Work Order (the Tasks).

We confirm that in this instance you are authorized to make the payment of RS 900,080.00 (the Total Amount) to the Subcontractor directly in respect of the Tasks in the Work Order. You are also further authorized to deduct the Total Amount from the same Work Order leaving a balance of RS 900,080.00 (the Balance) payable to us.   You are also further authorized to deduct the Balance from any outstanding amounts due to us pursuant to any other work orders and activities carried out at site pursuant to the T44 Agreement. We also confirm that we shall not invoice you separately for costs incurred (whether directly or indirectly) in the undertaking of the Tasks.

Furthermore we acknowledge that in accordance with Clause 45-4.2 of the T44 Agreement, the subcontracting of the Tasks shall not relieve us from any of our liabilities of obligations under the T44 Agreement. For the avoidance of doubt, we shall remain liable for both the quality and fitness of the materials provided in relation to the Tasks, and also the standard to which the Tasks are undertaken.
